1. Definitions
- Bots24/7: Klik&Shop, trading as Bots24/7.
- Client: the business or organisation entering into an agreement with Bots24/7. Bots24/7 only supplies business clients acting in the course of their profession or business.
- Chatbot: the virtual assistant set up by Bots24/7 for the client’s website and/or WhatsApp Business number.
- Knowledge base: the information (such as opening hours, prices, services and FAQs) on which the chatbot bases its answers.
- End user: a visitor or customer of the client who communicates with the chatbot.
- Trial period: the 14-day period after delivery of the chatbot, as described in article 4.
2. Applicability
These terms apply to all quotations, offers and agreements of Bots24/7. Deviations only apply if agreed in writing (email is sufficient). The client’s general terms do not apply unless Bots24/7 has expressly accepted them in writing.
3. Offers and formation
Offers are without obligation. The agreement is formed once the client accepts an offer in writing or by email, or once Bots24/7 starts the work at the client’s request.
4. 14-day trial period
- A 14-day trial period applies after delivery of the chatbot.
- During the trial period, the client may terminate the agreement without giving reasons by notifying Bots24/7 by email or via the contact form. In that case the client owes no setup fee and no subscription fees.
- After termination during the trial period, Bots24/7 deactivates the chatbot and the client removes the embed code from its website.
- If the client does not terminate within the trial period, the agreement continues and the setup fee and subscription are charged in accordance with article 6.
- The trial period applies once per client.
5. Services
- Bots24/7 sets up the chatbot based on information supplied by the client and public information on the client’s website. The client reviews and approves the knowledge base before going live.
- Depending on the package, the service includes: a website chatbot, answers to frequently asked questions, collection of appointment and quote requests, lead qualification, a WhatsApp Business integration, hosting, maintenance, knowledge base updates, monthly reports and support.
- The chatbot submits requests; the client remains responsible for confirming, scheduling and carrying out appointments and jobs.
- The WhatsApp integration requires a WhatsApp Business number and a verified business account with Meta. Meta’s terms also apply to the use of WhatsApp. Any messaging fees charged by Meta are not included in the price unless agreed otherwise.
6. Prices and payment
- Unless agreed otherwise, the rates are €199 one-off for setup and €49 per month for the subscription. All prices exclude VAT.
- The setup fee is invoiced after the trial period ends. The subscription is invoiced monthly in advance, for the first time after the trial period ends.
- The payment term is 14 days from the invoice date. In case of late payment, the client is in default after a written reminder and Bots24/7 may charge statutory commercial interest and reasonable collection costs, and suspend the service until payment in full.
- Bots24/7 may adjust its rates once a year. Changes are announced at least 30 days in advance; the client may then terminate the agreement as of the effective date.
7. Term and termination
- The subscription runs for an indefinite period and can be cancelled monthly, effective at the end of the current calendar month, by email or via the contact form.
- Setup fees and subscription instalments already paid are not refunded, except in the situation of article 4.
- Bots24/7 may terminate the agreement with one month’s notice, or with immediate effect if the client seriously breaches its obligations or uses the chatbot in violation of the law or these terms.
- After termination the chatbot is deactivated. On request, the client receives an export of its knowledge base and available conversation data within 30 days. The data is then deleted in accordance with the data processing agreement.
8. Client obligations
- The client supplies correct, complete and up-to-date information and reports changes (such as new prices or opening hours) in good time.
- The client warrants that it holds the rights to the content supplied and that its use does not infringe third-party rights.
- The client informs end users on its website that they are communicating with a chatbot and mentions the processing in its own privacy statement.
- The client does not use the chatbot for unsolicited commercial messages, deception or other unlawful purposes.
9. Availability and AI answers
- Bots24/7 makes reasonable efforts to keep the chatbot available as continuously as possible but does not guarantee uninterrupted availability. Maintenance is scheduled at quiet times wherever possible.
- The chatbot is set up to answer only on the basis of the knowledge base and to refer to the client when in doubt. Nevertheless, automated answers may be incomplete or incorrect. Bots24/7 is not liable for decisions made by end users based on chatbot answers, except in the case of intent or deliberate recklessness.
- Bots24/7 does not guarantee any particular number of requests, leads, appointments or revenue.
10. Intellectual property
All rights to the software, the widget, the configuration structure and the methods of Bots24/7 remain with Bots24/7. The client receives a non-exclusive, non-transferable right of use for the duration of the agreement. The knowledge base content supplied by the client remains the client’s property.
11. Privacy and data processing agreement
When providing the chatbot, Bots24/7 processes personal data of end users on behalf of the client. The client is the controller and Bots24/7 is the processor within the meaning of the GDPR. The parties enter into a data processing agreement for this purpose, which forms part of the agreement. How Bots24/7 itself handles personal data is described in the privacy statement.
12. Liability
- The liability of Bots24/7 is limited to direct damage and to no more than the amount the client paid to Bots24/7 in the six months preceding the event causing the damage.
- Bots24/7 is not liable for indirect damage, including consequential loss, lost profits, missed requests and loss of data.
- These limitations do not apply in the case of intent or deliberate recklessness on the part of Bots24/7.
- A claim for damages lapses if the client does not report the damage in writing within 30 days of discovery.
13. Force majeure
Bots24/7 is not obliged to perform if prevented by force majeure, including outages at hosting, AI or messaging platforms (such as Meta/WhatsApp), internet outages, cyberattacks and changes to third-party services. If force majeure lasts longer than 30 days, either party may terminate the agreement.
14. Changes
Bots24/7 may amend these terms. Changes are communicated to the client at least 30 days before they take effect. If the client does not agree with a material change, it may terminate as of the effective date.
15. Governing law and disputes
The agreement is governed by Dutch law. Disputes are submitted to the competent court of the District Court of The Hague (Rechtbank Den Haag), unless mandatory law designates another court. The parties will first try to resolve any dispute together.
